Terms of Service

You must be at least 13 years of age to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, in which case "you" refers to that organization. You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services.

EldHollow provides independent consulting services related to carbon offset projects and carbon markets. These services are delivered through customized digital reports generated based on user-provided inputs. Reports are made available through a secure user dashboard and may also be downloaded as PDF files. While PDF versions contain the substantive content of the purchased service, they may not reproduce all features, formatting, or functionality available within the platform.

All Services are fulfilled automatically upon confirmed payment, subject to system availability and proper user input.

Access to certain features requires account registration. Users may create individual or organizational accounts, with organizational accounts supporting multiple users and role-based permissions. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify EldHollow immediately of any unauthorized access or suspected breach of security.

EldHollow reserves the right to suspend, restrict, or terminate accounts at its sole discretion, including for suspected violations of these Terms, unlawful activity, or risks to system integrity.

All Services are offered on a one-time fee basis. Payment is required in full prior to the delivery of any Services. Invoices are issued through third-party providers and must be paid before access to purchased Services is granted. Upon receipt of payment, Services will be made available in your account dashboard.

All fees are non-refundable except at EldHollow's sole discretion. Any refunds issued are handled on a case-by-case basis and do not establish a precedent. You agree to provide accurate billing information and authorize EldHollow and its payment processors to charge the specified fees.

All content, materials, software, and underlying technology associated with the Services are the exclusive property of EldHollow LLC or its licensors and are protected by intellectual property laws. Upon full payment, EldHollow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the purchased reports solely for internal business or personal purposes.

You may use the information contained in reports to inform business or commercial decisions; however, you may not copy, reproduce, distribute, publish, sell, sublicense, or otherwise exploit the reports or Services themselves without prior written consent from EldHollow. No rights are granted except as expressly stated in these Terms.

You retain ownership of any data, inputs, or materials you submit to the Services ("User Content"). By submitting User Content, you grant EldHollow a limited, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing the Services. You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any law or third-party rights.

EldHollow does not claim ownership of User Content but reserves the right to remove or restrict content that violates these Terms.

You agree not to use the Services in any manner that:

• Violates any applicable law or regulation; • Infringes upon the rights of others; • Involves uploading or transmitting harmful, abusive, defamatory, or unlawful material; • Attempts to gain unauthorized access to systems, accounts, or data; • Interferes with or disrupts the integrity or performance of the Services; or • Misuses, misrepresents, or improperly distributes any reports or outputs.

EldHollow reserves the right to investigate and take appropriate action in response to violations, including suspension or termination of access.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELDHOLLOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

All reports, analyses, and outputs reflect the opinions and professional judgment of EldHollow and are provided for informational purposes only. They do not constitute financial, investment, legal, or professional advice. You are solely responsible for any decisions made based on the Services. EldHollow does not guarantee that the Services will be uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELDHOLLOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL ELDHOLLOW'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ELDHOLLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

EldHollow may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to access the Services will cease immediately. EldHollow will make commercially reasonable efforts to provide access to any purchased reports in downloadable PDF form.

All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution provisions.

The Services rely on third-party providers for infrastructure, authentication, billing, and communications. EldHollow does not control and is not responsible for the performance, availability, or practices of such third parties. Your interactions with third-party services may be governed by their respective terms and policies.

You agree to indemnify, defend, and hold harmless EldHollow LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services by contacting EldHollow at info@eldhollow.com. If the dispute cannot be resolved informally, it shall be resolved exclusively through final and binding arbitration administered in the United States in accordance with applicable arbitration rules.

Arbitration shall be conducted on an individual basis. You agree that you may not bring claims as a plaintiff or class member in any purported class, collective, or representative proceeding. YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles, and applicable federal laws of the United States.

EldHollow reserves the right to modify these Terms at any time. Updated Terms will be posted on the Website with a revised Effective Date. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms.

These Terms constitute the entire agreement between you and EldHollow regarding the Services and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. EldHollow's failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

You may not assign or transfer your rights under these Terms without prior written consent from EldHollow. EldHollow may assign its rights and obligations without restriction.
